QINVOX LLC · Qinvox India OperationsThis NTD Agreement is entered into between Qinvox / QINVOX LLC and the client, partner, vendor, consultant, candidate, or authorised representative receiving or sharing confidential information for a business purpose.
The purpose of this Agreement is to enable discussions, proposal preparation, resource mapping, project planning, design review, development execution, support, maintenance, AI development, and related business collaboration.
Confidential Information includes project briefs, ideas, designs, wireframes, source files, credentials, code, documents, pricing, proposals, candidate data, business plans, client information, product strategy, technical architecture, and any non-public information shared by either party.
Each party agrees to keep Confidential Information private, use it only for the agreed purpose, restrict access to authorised team members, and avoid copying, publishing, distributing, or disclosing it without written permission.
Confidential Information may be used only to evaluate, quote, plan, execute, manage, support, or maintain the agreed work. It must not be used for competing purposes, unauthorised sales, independent product copying, or unrelated business activities.
Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed without using Confidential Information, received lawfully from another source, or required to be disclosed by law.
Project deliverables, timelines, milestones, revisions, meetings, approvals, source files, hosting responsibilities, integrations, maintenance, and acceptance criteria should be defined in a separate proposal, quotation, statement of work, invoice, or written project confirmation.
For resource mapping, staff augmentation, managed teams, or dedicated resources, role requirements, resumes, skill data, availability, rates, interview feedback, and resource details must be treated as confidential and used only for evaluation and engagement purposes.
Unless otherwise agreed in writing, Qinvox retains ownership of pre-existing frameworks, templates, reusable components, internal processes, know-how, and non-client-specific assets. Client-specific final deliverables may transfer to the client after full payment, subject to the agreed proposal or invoice.
Qinvox may showcase completed public-facing work, project category, or non-confidential results in its portfolio only where permitted by the client or where such work is already publicly available. Confidential or restricted work will not be published without approval.
Credentials, hosting access, admin accounts, API keys, analytics, payment gateway access, source repositories, and private documents must be shared through secure and authorised channels. Each party should promptly revoke unnecessary access after project completion.
Fees, payment schedule, taxes, currency, third-party costs, renewal charges, resource billing, cancellation terms, late payment terms, and refund conditions should be mentioned in the proposal, quotation, invoice, or signed statement of work.
Approvals through email, written chat, project management tools, signed documents, or recorded meeting confirmations may be treated as valid project communication. Delayed approvals, missing content, or pending access may impact timelines.
Upon written request, each party should return, delete, or restrict access to Confidential Information where reasonably possible, except records required for legal, accounting, backup, security, or dispute resolution purposes.
This Agreement begins from the date Confidential Information is first shared or from the date of written acceptance. Confidentiality obligations may continue after project completion for the period defined in the signed agreement, proposal, or applicable law.
Business discussions, estimates, proposals, prototypes, interviews, and discovery calls do not guarantee project award, hiring, exclusivity, partnership, investment, employment, or final engagement unless confirmed in writing by authorised representatives.
Unauthorised disclosure, misuse, copying, or breach of confidentiality may cause business harm. The affected party may seek appropriate remedies available under the signed agreement and applicable law.
This NTD Agreement should be read together with Qinvox proposals, invoices, statements of work, Privacy Policy, Terms of Service, and any signed agreement between the parties. If there is a conflict, the latest signed written agreement should control.
